WAVEZING
TERMS OF SERVICE
Complete Working Draft • 33 Sections
Last Updated: 17 October 2026
Effective From: 17 October 2026
Version: 1.0
This is a business-policy draft for review, not legal advice or a certified legal document. Before publication, verify the wording against Wavezing’s actual business model, accepted project practices, and applicable Indian law.
1. About Wavezing
Wavezing (“Wavezing”, “we”, “our”, or “us”) provides IT and digital services, which may include website design and development, software development, mobile application development, graphic design, web hosting, domain-related services, digital marketing, search engine optimisation (SEO), social media management, and related services. These Terms of Service explain the general rules governing our relationship with clients and users. The specific services available to you will be described in the relevant proposal, quotation, invoice, order, or written agreement.
2. Acceptance of Terms
By requesting a quotation, approving a proposal, signing an agreement, making a payment, authorising work to begin, or using a service where these Terms are presented, you agree to the terms applicable to that engagement. If you are acting on behalf of a company or other organisation, you confirm that you are authorised to accept the applicable terms on its behalf. If you do not agree, do not confirm or proceed with the relevant service. Any mandatory rights under applicable law remain unaffected.
3. Scope of Services
The services Wavezing will provide are those expressly described in the accepted proposal, quotation, statement of work, invoice, or written agreement. Deliverables, features, quantities, integrations, platforms, timelines, support periods, and exclusions should be recorded in writing wherever practicable. Services not expressly included in the agreed scope are not included by default. General descriptions on the website are informational and do not replace the project-specific scope agreed with the client.
4. Project Requirements and Client Responsibilities
The client must provide accurate requirements, content, images, branding assets, approvals, account access, credentials, and other materials reasonably needed for the project. The client is responsible for ensuring that it has the rights and permissions needed to provide those materials and instruct Wavezing to use them. The client should review deliverables, provide feedback within agreed timeframes, maintain secure control of its accounts, and identify a person authorised to approve project decisions. Missing information, delayed approvals, or inaccurate materials may affect timelines and may require revised estimates or additional work.
5. Proposals, Quotations and Pricing
Proposals and quotations will describe the applicable scope, price, payment schedule, assumptions, and any important exclusions to the extent stated in the document. Unless a different validity period is stated, a quotation is an offer for the period specified in it and may be revised after expiry or if the requirements materially change. A project-specific written agreement or accepted quotation takes precedence over general website descriptions to the extent of any inconsistency, subject to applicable law. Prices, taxes, third-party charges, and any recurring fees should be identified before the client commits where applicable.
6. Token and Advance Payment
Wavezing may require a token or advance payment before allocating resources or beginning work. Any advance will be adjusted against the agreed project price unless the accepted agreement clearly states otherwise. The payment amount, due date, and any conditions affecting refund eligibility should be communicated before payment. An advance is not automatically non-refundable in every circumstance; cancellation and refund requests will be assessed under the accepted terms, the Refund Policy, and applicable law.
7. Payment Terms and Milestones
The client must pay invoices according to the agreed schedule, milestones, and due dates. Where a project is divided into milestones, each milestone and its payment trigger should be described in the proposal or written agreement. The client should raise any genuine invoice query promptly and provide sufficient details to allow review. Undisputed amounts remain payable according to the agreed terms. Work may be paused for overdue payments after appropriate notice, where permitted by the agreement and applicable law.
8. Revisions and Corrections
The number and type of revisions included in a project will be stated in the proposal where applicable. A revision is a reasonable adjustment to a deliverable within the original agreed scope; it does not include a new feature, a substantial redesign, a change in direction after approval, or work arising from changed requirements. Corrections needed because a deliverable does not meet an expressly agreed written requirement will be assessed separately from preference-based revisions. Requests outside the included revision allowance may be quoted as additional work. The client should provide consolidated feedback where practicable.
9. New Requirements and Additional Work
Requests outside the agreed scope may require a separate quotation, written approval, additional payment, and an updated timeline. Examples include additional pages or screens, new modules, new integrations, substantial redesigns, new content, extra campaign work, or changes to previously approved functionality. Wavezing will, where practicable, communicate the additional scope, price, and likely timeline before beginning such work. Additional work should not be assumed to be included merely because it relates to the same project.
10. Project Scope Changes
A change to the approved scope, specifications, platform, integrations, deliverables, or project assumptions may affect cost, resources, and delivery dates. The parties should record material changes in writing, including any revised price and schedule. Wavezing may explain the impact of a requested change before proceeding. If the parties do not agree on a material change, work may continue under the existing scope where feasible, or the affected work may be paused while the parties resolve the issue, subject to the agreement and applicable law.
11. Project Delivery and Timelines
Delivery dates are estimates unless expressly stated as binding in a written agreement. Timelines may depend on timely payments, client content, approvals, third-party services, platform access, and other dependencies. Wavezing will make reasonable efforts to meet agreed timelines and communicate material delays it becomes aware of. Delays caused by missing client inputs, scope changes, third-party outages, or circumstances beyond reasonable control may require an updated schedule. A revised schedule does not remove rights or remedies that cannot legally be excluded.
12. Website, App and Software Development
Development services will be performed against the requirements and acceptance criteria recorded in the accepted proposal or specification. The client is responsible for reviewing the agreed functionality and supplying required content, access, licences, and platform accounts. Compatibility with third-party systems, browsers, devices, APIs, or software versions will depend on the requirements agreed for the project. Unless expressly included, ongoing hosting, domain renewals, paid licences, maintenance, future feature development, and third-party subscription charges are separate services or costs. No security, performance, or compatibility outcome is guaranteed beyond express written commitments.
13. Digital Marketing, SEO and Social Media Services
Digital marketing services may include SEO, social media management, content creation, campaign setup, advertising management, reporting, and related work as stated in the proposal. The client is responsible for the accuracy and legality of its claims, offers, products, and supplied materials and for providing timely approvals and access. Search rankings, reach, leads, followers, conversions, sales, and revenue depend on factors outside Wavezing’s control, including competition, platform algorithms, budgets, market conditions, and client participation. Unless an express written guarantee states otherwise, Wavezing does not guarantee a specific business result. Advertising budgets and platform fees are separate unless expressly included.
14. Third-Party Services and Costs
Projects may rely on third-party hosting, domains, themes, plugins, software licences, APIs, SMS or messaging services, payment providers, advertising platforms, stock assets, app stores, or other external services. Their availability, pricing, policies, and performance are controlled by the relevant providers. Third-party costs are payable by the client unless expressly included in the proposal. Wavezing will not knowingly commit the client to a material additional third-party cost without appropriate authorisation where practicable. Any applicable third-party terms must also be followed.
15. Client-Provided Content and Materials
The client grants Wavezing permission to use the content, materials, logos, images, data, and other assets supplied by the client solely as reasonably necessary to perform the agreed services. The client represents that it has the rights and permissions required for that use and that its instructions and materials do not knowingly infringe another party’s rights or violate applicable law. The client is responsible for obtaining any required releases, licences, consents, or permissions. Wavezing may ask the client to replace material that reasonably appears unlawful or unauthorised, and may pause the affected work while the issue is resolved.
16. Intellectual Property and Ownership
Ownership and usage rights will depend on the accepted proposal and applicable law. Unless the written agreement states otherwise, third-party materials, pre-existing tools, frameworks, reusable code, methods, know-how, and licensed assets remain subject to their existing ownership and licence terms. Subject to full payment and any express project-specific conditions, Wavezing will transfer or license the agreed final deliverables to the client as stated in the relevant agreement. Until applicable payment obligations are met, rights in unpaid deliverables may be withheld to the extent permitted by law and the agreement. The client is responsible for complying with third-party licences. Any assignment or licence should be documented clearly in the project agreement.
17. Portfolio and Promotional Use
Unless the parties agree otherwise in writing, Wavezing may identify the client by name and display publicly released deliverables in its portfolio or marketing materials after the work has been made public. Wavezing will not intentionally disclose confidential information or unpublished materials contrary to a confidentiality obligation. A client who requires confidentiality, a launch embargo, or no portfolio use should notify Wavezing in writing before the project begins so that the restriction can be documented in the agreement.
18. Confidentiality
Each party may receive non-public business, technical, financial, or project information from the other. The receiving party will use such information only for the relevant engagement, protect it with reasonable care, and disclose it only to people who need it for that purpose or where disclosure is legally required. Confidentiality obligations do not generally apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source. Where required, the parties should sign a separate non-disclosure agreement. Personal data will also be handled according to the Privacy Policy and applicable law.
19. Client Visits and On-Site Services
On-site visits, travel, physical inspections, and in-person technical assistance are not included unless stated in the proposal. If requested or agreed, additional fees and travel expenses may apply. The location, purpose, expected duration, and charges should be confirmed in writing where practicable before the visit. Cancellation of a scheduled visit may result in charges for reasonable costs already incurred or other expressly agreed charges, subject to applicable law.
20. Testing, Review and Approval
The client should review deliverables within the review period stated in the proposal or otherwise agreed in writing and provide specific feedback or approval. Where no review period is stated, the parties should agree a reasonable period appropriate to the deliverable. Approval may be recorded by email or another agreed written channel. A lack of response does not automatically waive statutory rights or turn a defective service into an accepted one. Material changes requested after approval may be treated as additional work where they fall outside the agreed scope.
21. Final Payment and Handover
Final files, credentials, source materials, deployment, transfer, or other handover items will be provided according to the accepted proposal and payment schedule. Where the agreement makes handover conditional on payment, Wavezing may withhold the relevant handover until the applicable undisputed amount is paid, to the extent permitted by the agreement and law. The handover process should identify any included deliverables, licences, credentials, documentation, and exclusions. The client is responsible for securely changing passwords and maintaining its own backups and account access after handover, unless those tasks are included in an ongoing service.
22. Project Suspension, Abandonment and Termination
Wavezing may suspend or terminate work where permitted by the agreement and applicable law, including for material non-payment, unlawful instructions, serious security risks, or a material breach that remains unresolved after appropriate notice where notice is required. A project may also become inactive because the client does not provide required materials, access, approvals, or decisions. Wavezing may issue a written notice explaining what is needed and the period for response. On suspension or termination, the parties’ payment, deliverable, confidentiality, intellectual property, and refund obligations will be determined by the agreement, this policy framework, and applicable law. Termination does not automatically make all remaining project fees payable or eliminate any statutory rights.
23. Cancellation and Refunds
Cancellation and refund requests are governed by the applicable proposal or agreement and Wavezing’s Refund Policy, subject to mandatory legal requirements. Refund eligibility may depend on work completed, milestones achieved, approved additional work, justified project expenses, third-party costs, and payments received. Any deductions must be properly attributable to the project and legally permissible. No provision in these Terms is intended to exclude a refund or remedy that applicable law requires. Clients should submit cancellation and refund requests in writing using the contact details published on the website.
24. Maintenance and Technical Support
Maintenance, updates, monitoring, backups, security reviews, bug fixes, and technical support are included only if stated in the proposal or a separate maintenance agreement. The agreement should specify the support period, response expectations, covered systems, exclusions, and any charges. Issues caused by third-party changes, unsupported environments, unauthorised modifications, or client-side changes may require separate paid work. No ongoing support is implied solely because a website, app, or software project has been delivered.
25. Disclaimer of Warranties and Results
Wavezing will perform agreed services with reasonable care and skill as required by applicable law and the agreement. Except for express written commitments and warranties that cannot legally be excluded, outcomes may depend on client inputs, third-party platforms, internet connectivity, hosting infrastructure, market conditions, and other factors outside Wavezing’s reasonable control. Website, software, and marketing services are not guaranteed to be uninterrupted, error-free, or to achieve a particular commercial result unless specifically agreed in writing. Nothing in this section limits mandatory statutory rights or remedies.
26. Limitation of Liability
To the extent permitted by applicable law, each party’s liability will be assessed in light of the agreement, the nature of the claim, and the circumstances. Wavezing will not exclude or limit liability where such exclusion or limitation is prohibited by law, including applicable consumer rights or liability that cannot legally be waived. Any project-specific liability cap or exclusion should be expressly stated in the accepted agreement and reviewed for enforceability. Neither party should rely on this section as a substitute for clearly agreed scope, risk allocation, and insurance arrangements where appropriate.
27. Acceptable Use
Clients must not use Wavezing’s services to create, distribute, or support unlawful content, fraud, unauthorised access, malware, infringement, harassment, or other prohibited activity. Clients must not provide instructions or materials that knowingly violate third-party rights or applicable law. Wavezing may refuse or pause work reasonably believed to create legal, security, or safety risks, subject to the agreement and applicable law. The client remains responsible for the legality of its business, products, claims, content, and use of delivered systems.
28. Force Majeure
Neither party will be treated as in breach to the extent performance is delayed by circumstances beyond its reasonable control, such as natural disasters, widespread outages, government action, war, civil unrest, labour disruption, or major failures of third-party infrastructure, provided the affected party takes reasonable steps to reduce the impact and informs the other party where practicable. Payment obligations for services already performed and rights that cannot legally be excluded remain unaffected. If the disruption continues for an extended period, the parties should discuss a reasonable adjustment, suspension, or termination under the agreement and applicable law.
29. Communication and Official Records
Project approvals, scope changes, payment confirmations, cancellation requests, and other material decisions should be recorded in writing, preferably by email using the contact details provided by the parties. Messages through other agreed channels may also be used where the parties can reliably retain the record. Each party should keep its contact details current and notify the other of material changes. Electronic communications and records will be treated in accordance with applicable law. A communication record does not override a mandatory legal requirement or a later valid written agreement.
30. GST, Taxes and Other Charges
Prices and invoices will identify applicable taxes and other charges as required. Unless expressly stated otherwise, the client is responsible for taxes and third-party charges applicable to the purchase, except taxes imposed on Wavezing’s own income. Wavezing will issue invoices and make tax adjustments or credit notes where required under applicable law. The parties should provide accurate billing and tax details. The treatment of GST, withholding, credit notes, and refunds will depend on the transaction and applicable tax rules; this clause is not a substitute for transaction-specific tax advice.
31. Changes to These Terms
Wavezing may update these general Terms of Service from time to time. The website version should show a Last Updated date and, where useful, a version number and summary of material changes. Changes will apply prospectively unless otherwise validly agreed or required by law. An existing project will ordinarily remain governed by the terms accepted for that project unless the parties validly agree to a change or applicable law requires otherwise. Where notice or consent is required for a material change, Wavezing will follow the applicable requirement.
32. Governing Law and Jurisdiction
These Terms will be interpreted in accordance with the laws of India, subject to mandatory legal protections applicable to the relevant transaction. The parties may first attempt to resolve disputes through good-faith written discussion. If a dispute cannot be resolved, either party may pursue remedies available under applicable law. Any choice of court or jurisdiction must be legally valid and must not restrict a consumer’s statutory rights or access to a competent forum.
